The Board of Directors of JSC "Nurbank" decided on April 19, 2022:
To convene and hold the annual general meeting of shareholders of JSC "Nurbank" on May 26, 2022, at 10:00 a.m. Almaty time in the building of JSC "Nurbank", located at: 10V, Abay Ave., Almaty.
In the absence of quorum at the annual general meeting of shareholders of JSC "Nurbank" on May 26, 2022, a repeated annual general meeting of shareholders of JSC "Nurbank" will be held on May 27, 2022, at 10:00 a.m. Almaty time at the above address.
In accordance with clause 1 of article 43 of the Law of the Republic of Kazakhstan "On Joint Stock Companies" and clause 7, article 20 of the Charter of JSC "Nurbank", to form the following agenda for the annual general meeting of shareholders of JSC "Nurbank":
1) Approval of the agenda of the annual general meeting of shareholders of JSC "Nurbank".
2) Approval of the unconsolidated (separate) annual financial statements of JSC "Nurbank" for 2021.
3) Approval of the consolidated annual financial statements of JSC "Nurbank" for 2021.
4) Approval of the procedure for distributing net income of JSC "Nurbank" for 2021, decision on dividend payment on common shares and the amount of dividends per common share of JSC "Nurbank" for 2021.
5) Informing shareholders of JSC "Nurbank" about the amount and composition of remuneration of members of the Board of Directors and members of the Management Board of JSC "Nurbank" for 2021.
6) On complaints by shareholders about actions of JSC "Nurbank", its official persons, and the results of their consideration for 2021.
7) On early termination of powers of a member of the Board of Directors - an independent director of JSC "Nurbank".
8) Change in the amount of remuneration to members of the Board of Directors - independent directors of JSC "Nurbank". The date for closing the list of shareholders entitled to participate and vote at the annual general meeting of shareholders of JSC "Nurbank" is April 20, 2022.
