Amendments to the Corporate Bank (Current) Account Agreement

Dear clients!

We inform you about amendments to the Corporate Bank (Current) Account Agreement and the VAT Control (Current) Account Agreement concluded by accession (hereinafter referred to as the Agreement).

We remind you that according to the terms of the agreement, if you do not agree with the amendments, you have the right to refuse further execution of the agreement by submitting a written termination notice to the Bank as stipulated in the Agreement.

Your failure to submit such a notice will imply your acceptance of the new version of the Agreement posted on the Bank's website, and your overall accession to it considering the amendments/additions.

The amendments to the Agreement come into force on August 25, 2021.

The following amendments are to be made to the standard form of the Corporate Current Account Agreement (hereinafter referred to as the Agreement).

1. Amend Clause 1.5 of the Agreement as follows:

“1.5. The Client pays the Bank commissions for services rendered under this Agreement in an amount established by the Bank's tariffs. The amount of commissions (tariffs) is indicated on the Bank's website www.nurbank.kz. The Bank has the right to unilaterally change the amount of commissions charged for international payments and/or money transfers, as well as commissions for services not related to payment services, with a 10-day (ten) calendar day notice to the Client before the relevant changes take effect by posting an announcement on the Bank's premises and/or on the Bank's website: www.nurbank.kz. Tariffs for payment services may be increased by mutual agreement following this procedure: information about tariff changes is posted on the Bank's website www.nurbank.kz with a 10-day (ten) calendar day notice to the Client before these changes take effect by posting an announcement on the Bank's premises and/or on the Bank's website: www.nurbank.kz. The Client's failure to provide the Bank with written notification of disagreement with the change in tariffs for payment services before they take effect implies the Client's agreement to the Bank's tariff changes, and the change in tariffs is considered agreed upon by the Parties. Other written acknowledgment of the Client's consent is not required. The Bank is not responsible for the Client's unawareness of the tariff changes.”

1. Amend the first sentence of Clause 2.3 of the Agreement as follows: “The operational day during which payment documents presented to the Account are accepted is established by the Bank from 09:00 to 17:00 Nur-Sultan city time.”
2. Amend Clause 2.9 as follows:

“2.9. Information about the amount and changes in tariffs, about changes in the Bank's operational day duration is posted on the Bank's website: www.nurbank.kz. The client is obliged to independently find out the commissions established by the Bank on the corresponding date, about changes in the Bank's operational day duration in the Bank's premises and/or on the Bank's website: www.nurbank.kz. Notification of the Client about changes in tariffs, about changes in the duration of the operational day is carried out by the Bank 10 (ten) calendar days before the relevant changes take effect by posting an announcement in the Bank's premises and/or on the Bank's website: www.nurbank.kz. The Bank is not responsible for the Client's unawareness of changes in tariffs, changes in the Bank's operational day duration.”

1. Amend Clause 3.2.1 of the Agreement as follows: “3.2.1. pay for the Bank's services in accordance with the Bank's tariffs;”.
2. Amend the last sentence of Clause 4.1.10 as follows: “After the expiration of the above term (period), the Client is serviced at the tariffs indicated on the Bank's website: www.nurbank.kz.”
3. In Clause 7.7 of the Agreement, replace the number and word in brackets “30 (thirty)” with “10 (ten)”.
4. Throughout the text of the Agreement, replace the word “website” with “internet resource” in the appropriate cases.

The following amendments are to be made to the standard form of the VAT Control (Current) Account Agreement (hereinafter referred to as the Agreement).

1. Amend Clause 1.4 of the Agreement as follows:

“1.4. The Client pays the Bank commissions for services rendered under this Agreement in an amount established by the Bank's tariffs. The amount of commissions (tariffs) is indicated on the Bank's website www.nurbank.kz. The Bank has the right to unilaterally change the amount of commissions charged for international payments and/or money transfers, as well as commissions for services not related to payment services, with a 10-day (ten) calendar day notice to the Client before the relevant changes take effect by posting an announcement on the Bank's premises and/or on the Bank's website: www.nurbank.kz. Tariffs for payment services may be increased by mutual agreement following this procedure: information about tariff changes is posted on the Bank's website www.nurbank.kz with a 10-day (ten) calendar day notice to the Client before these changes take effect by posting an announcement on the Bank's premises and/or on the Bank's website: www.nurbank.kz. The Client's failure to provide the Bank with written notification of disagreement with the change in tariffs for payment services before they take effect implies the Client's agreement to the Bank's tariff changes, and the change in tariffs is considered agreed upon by the Parties. Other written acknowledgment of the Client's consent is not required. The Bank is not responsible for the Client's unawareness of the tariff changes.”

1. Amend Clause 3.2.1 of the Agreement as follows: “3.2.1. pay for the Bank's services in accordance with the Bank's tariffs;”.
2. Amend the last sentence of Clause 4.1.10 as follows: “After the expiration of the above term (period), the Client is serviced at the tariffs indicated on the Bank's website: www.nurbank.kz.”
3. In Clause 6.7 of the Agreement, replace the number and word in brackets “30 (thirty)” with “10 (ten)”.
