On the Results of the Annual General Meeting of Shareholders of JSC Nurbank

JSC Nurbank announces the results of voting at the Bank's Annual General Meeting of Shareholders (hereinafter referred to as the Meeting), which was held on May 26, 2022. In accordance with the approved agenda, the following issues were considered and the following decisions made based on the voting results. The unconsolidated and consolidated financial statements of the Bank for 2021 have been approved.

In 2021, Nurbank's assets grew due to an increase in the loan portfolio by 12% and growth in the deposit portfolio by 20%. The Bank forecasts a significant increase in net profit and profitability for 2022 based on credit growth, improved asset quality, and the transformation of key business processes.

Nurbank consistently maintains a balanced liquidity position and an adequate capital reserve.

At the Meeting, it was decided not to pay dividends on the Bank's common shares.

Furthermore, the Meeting resolved to prematurely terminate the powers of independent director and member of the Bank’s board of directors, Ulf Wokurka, at his personal request. Since April 2019, U. Wokurka has shown himself as a strong leader and made a significant contribution to its development. Under his leadership, the bank's team successfully implemented several important projects, such as asset quality review (AQR), and took necessary measures to ensure the bank's economic stability during a challenging pandemic period.

With the changes made, the composition of the Board of Directors includes:

×        Rausan Zeinullaevna Yerjanova – Chairman of the Board of Directors of JSC Nurbank;

×        Eldar Rachitovich Sarsenov – Member of the Board of Directors of JSC Nurbank;

×        Alexander Leonidovich Frolov, Independent Director - Member of the Board of Directors of JSC Nurbank;

×        Rustem Gumarovich Kamaleev, Independent Director - Member of the Board of Directors of JSC Nurbank.
