JSC "Nurbank" informs that on 29.04.2014, the annual general meeting of shareholders was held, at which the following decisions were made based on the voting results:
1) Approve the consolidated annual financial statements of JSC "Nurbank" for 2013;
2) Approve the separate annual financial statements of JSC "Nurbank" for the year 2013;
3) Do not approve the procedure for distributing the net income of JSC "Nurbank" due to the loss incurred in 2013;
4) Do not form the reserve capital of JSC "Nurbank". Direct the amount of the reserve capital in the size of 8,886,568,987.76 tenge (eight billion eight hundred eighty-six million five hundred sixty-eight thousand nine hundred eighty-seven tenge 76 tiyn), formed in previous reporting periods, to reduce previous years' losses;
5) Do not pay dividends on common shares of JSC "Nurbank" for 2013;
6) Approve LLP "KPMG" as the audit organization to conduct an audit of the annual financial statements of JSC "Nurbank" for 2014;
7) Take note of the absence of shareholders' appeals against the actions of JSC "Nurbank" and its officers in 2013;
8) Postpone the consideration of the issue of changing the composition of the Board of Directors of JSC "Nurbank" to another general meeting of the Bank's shareholders;
9) Approve amendments and additions No. 4 to the Charter of JSC "Nurbank" and authorize the Chairman of the Management Board of JSC "Nurbank" Kantor Orynbayev Beqaralovich to sign Amendments and Additions No. 4 to the Charter of JSC "Nurbank";
10) Approve the Code of Corporate Governance of JSC "Nurbank" in a new edition and terminate the Code of Corporate Governance of the banking conglomerate JSC "Nurbank", approved by the decision of the annual general meeting of shareholders of JSC "Nurbank" on 05.09.2008;
11) Take note of the information on the size and composition of remuneration to the members of the Board of Directors and the Management Board of JSC "Nurbank" for 2013.
